1. Agreement to Terms
By accessing or using Red Flask's services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not use our services.
2. Services Description
Red Flask provides AI automation consulting and implementation services, including but not limited to:
Business process automation design and implementation
Custom workflow development
Integration with third-party software and platforms
Ongoing monitoring and maintenance through monthly retainer agreements
3. Consulting and Discovery Process
Initial consultations are provided free of charge and do not obligate either party to enter into a service agreement
Following discovery, Red Flask will provide a custom quote based on project scope and complexity
Services begin only after a signed service agreement and initial payment are received
4. Payment Terms
Implementation fees are quoted on a per-project basis and typically range from $3,000 to $12,000
Monthly retainer fees for ongoing support range from $300 to $2000 per month
Payment is due according to the terms specified in your service agreement
Late payments may result in suspension of services and/or late fees
All fees are non-refundable unless otherwise specified in writing
5. Client Responsibilities
You agree to:
Provide accurate information about your business processes and requirements
Grant necessary access to systems, tools, and platforms required for implementation
Respond to requests for information or feedback in a timely manner
Maintain active subscriptions to any third-party tools required for your automation
Notify Red Flask of any changes to your business that may affect implemented automations
6. Intellectual Property
Custom automations built specifically for your business belong to you upon full payment
Red Flask retains ownership of proprietary methodologies, frameworks, and reusable components
You grant Red Flask the right to use anonymized case studies and results for marketing purposes unless otherwise agreed in writing
7. Service Level and Support
Monthly retainer includes monitoring, maintenance, bug fixes, and reasonable adjustments to existing automations
Response times and service level agreements are specified in individual service agreements
Emergency support outside of agreed terms may incur additional fees
8. Limitations of Liability
Red Flask is not liable for issues caused by third-party platform changes, downtime, or API modifications
Our liability is limited to the amount paid for services in the 12 months preceding any claim
We are not responsible for business losses, lost revenue, or consequential damages
Automations are provided "as-is" and we make no guarantees about specific ROI or business outcomes
9. Warranties and Disclaimers
We warrant that services will be performed in a professional and workmanlike manner
We do not warrant that automations will be error-free or uninterrupted
Third-party platforms and APIs are beyond our control and may change without notice
You are responsible for verifying automation outputs and maintaining oversight of automated processes
10. Termination
Either party may terminate ongoing services with 30 days written notice
Termination does not affect payment obligations for services already rendered
Upon termination, Red Flask will provide reasonable assistance with knowledge transfer
Monthly retainer services may be paused or canceled according to the terms in your service agreement
11. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the engagement
This obligation survives termination of services
Red Flask implements reasonable security measures to protect client data
12. Modifications to Terms
Red Flask reserves the right to modify these terms at any time
Changes will be posted on our website with an updated "Last Updated" date
Continued use of services after changes constitutes acceptance of modified terms
13. Governing Law
These terms are governed by the laws of the State of Nevada, United States, without regard to conflict of law principles.
14. Dispute Resolution
Disputes will first be addressed through good-faith negotiation
If resolution cannot be reached, disputes will be resolved through binding arbitration in Nevada
Each party is responsible for their own legal costs
15. Entire Agreement
These Terms and Conditions, together with any signed service agreements, constitute the entire agreement between you and Red Flask regarding our services.
